1. Scope of Services

1.1 Product Definition

Shenzhen Mengwei Technology Co., Ltd. (hereinafter referred to as "we", "us", or "Mengwei Tech") provides various software products and online services (collectively referred to as "the Product" or "Services"). Specific products may include but are not limited to:

• Desktop applications (such as Nuke Assistant)
• Online tools and services
• Plugins and extensions
• Other digital products

1.2 Service Content

Depending on the specific product you purchase, we may provide the following services:

• Software download and installation
• Core product features (varies by product)
• Membership subscription services (quarterly, semi-annual, annual, etc.)
• Software updates and upgrades
• Technical support and customer service
• Online account management

1.3 Third-Party Dependencies

Some products may require use in conjunction with third-party software (for example, Nuke Assistant requires Foundry Nuke). You must possess valid licenses for such third-party software. We do not provide third-party software itself and are not responsible for the functionality of third-party software.

2. User Account

2.1 Account Registration

• You must provide truthful, accurate, and complete registration information
• You must register with a valid email address
• Each email address may only be used to register one account
• You must be at least 18 years old or the legal age of majority in your jurisdiction

2.2 Account Security

• You are responsible for maintaining the confidentiality of your account password
• You are responsible for all activities conducted under your account
• If you discover unauthorized use of your account, please notify us immediately
• We will never proactively request your password; please be vigilant against fraud

2.3 Account Termination

We reserve the right to suspend or terminate your account under the following circumstances:

• You violate these Terms of Service
• You provide false information or engage in fraudulent behavior
• Your actions harm our interests or those of other users
• You have not logged into your account for an extended period (more than 2 years)

3. Membership Services and Payment

3.1 Membership Plans

We offer the following membership plans:

• Quarterly Membership: 3 consecutive months of service access
• Semi-Annual Membership: 6 consecutive months of service access
• Annual Membership: 12 consecutive months of service access

3.2 Payment Methods

• We process all payments through Paddle, the Merchant of Record for all transactions
• Supported currencies: Chinese Yuan (CNY), US Dollar (USD), etc.
• Membership services take effect immediately upon successful payment

3.3 Price Adjustments

• We reserve the right to adjust prices at any time
• Price changes will be communicated to existing members 30 days in advance
• Already purchased membership services are not affected by price adjustments

3.4 Membership Auto-Renewal

4. License and Usage Restrictions

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Software on computers you own
• Use it for plugin management in personal or commercial projects

4.2 Usage Restrictions

You may NOT:

• ❌ Copy, modify, decompile, or reverse engineer the Software
• ❌ Sell, rent, or sublicense the Software to third parties
• ❌ Remove or modify copyright notices and license information in the Software
• ❌ Use the Software for illegal activities
• ❌ Bypass membership verification through technical means
• ❌ Share your account with others
• ❌ Use automated tools or scripts to abuse our services

4.3 Single Device Policy

Each membership account may only be used on one device at a time. To switch devices:

• Please log out from the old device first
• Then log in on the new device
• Frequent device changes may trigger security review

5. Intellectual Property

5.1 Software Copyright

The copyright and intellectual property rights of the Software and all its contents (including but not limited to code, interface design, icons, and documentation) belong to Mengwei Technology and are protected by the Copyright Law of the People's Republic of China and international copyright treaties.

5.2 Trademark Rights

"Mengwei Tech", "Nuke Assistant" and related logos are our registered trademarks or trademarks. They may not be used without written permission.

5.3 User Content

The copyright of files and content you create, manage, or process using our products belongs to you or the original author. We do not acquire, store, or use your project content or personal creative data.

6. Disclaimer

6.1 Software Provided "As Is"

6.2 Third-Party Content

Some products may be used to manage, organize, or utilize content, plugins, or resources developed by third parties. We assume no responsibility for the following aspects of such third-party content:

• Functional correctness
• Security
• Copyright legality
• Compatibility

Please ensure that the third-party content you use comes from trusted sources and that you have legal rights to use it.

6.3 Data Loss

While we strive to protect your data, we are not responsible for data loss resulting from:

• Your device failure or data corruption
• Failures of third-party software (including Nuke)
• Force majeure events (such as natural disasters, war, cyber attacks)
• Your own operational errors

Recommendation: Please regularly back up your important project files and plugin libraries.

7. Limitation of Liability

7.1 Limitation of Damages

To the maximum extent permitted by law, our total liability for any direct, indirect, incidental, special, punitive, or consequential damages arising from the use or inability to use the Software (including but not limited to loss of profits, data loss, or business interruption) shall not exceed the fees you have paid to us in the past 12 months.

7.2 Force Majeure

We are not liable for service interruptions or delays caused by force majeure events (including but not limited to natural disasters, war, government actions, cyber attacks, or power outages).

8. Software Updates

8.1 Update Rights

We reserve the right to update, modify, or discontinue any features of the Software at any time. Members receive all updates free of charge.

8.2 Update Notifications

• Major updates: At least 7 days advance notice
• Regular updates: In-software prompts or email notifications
• Emergency security updates: May be implemented without prior notice

8.3 Version Compatibility

We strive to maintain backward compatibility, but do not guarantee that older versions will always remain available. We may discontinue support for outdated versions.

9. Service Termination

9.1 Your Right to Terminate

You may at any time:

• Stop using the Software and delete it
• Request deletion of your account (refer to the Refund Policy for refund conditions)

9.2 Our Right to Terminate

We reserve the right to immediately terminate your service if:

• You seriously violate these Terms
• You engage in fraud, hacking, or abusive behavior
• Your actions harm us or other users

Upon termination, fees you have already paid may not be refunded (unless otherwise required by law).

11. Dispute Resolution

1. Amicable Negotiation: Parties shall first attempt to resolve disputes through amicable negotiation
2. Mediation: If negotiation fails, parties may seek third-party mediation
3. Arbitration/Litigation: If mediation fails, either party may file a lawsuit with a court of competent jurisdiction in our location

12. Modification of Terms

12.1 Right to Modify

We reserve the right to modify these Terms of Service at any time. For major changes, we will:

• Post a prominent notice on the website
• Send a notification to your registered email address
• Display a prompt in the Software

12.2 Effective Date of Modifications

• Changes take effect 30 days after notification (unless a shorter period is required by law)
• Continued use of the service constitutes acceptance of the modified Terms
• If you do not accept the changes, you may terminate the service before they take effect and request a refund (prorated for the remaining time)

13. Miscellaneous Provisions

13.1 Entire Agreement

These Terms of Service, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior oral or written agreements.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 No Waiver of Rights

Our failure to exercise or delay in exercising any right under these Terms does not constitute a waiver of that right.

13.4 Assignment Restrictions

You may not assign your rights or obligations under this agreement without our written consent. We may freely assign this agreement (for example, in the event of a company merger or acquisition).
